Autodrom Merchant Terms — prepaid service campaigns (v5)
These terms govern campaigns of prepaid services you run on Autodrom, a platform operated by Autodrom OÜ (registry code 17595374, Harju maakond, Tallinn, Lasnamäe linnaosa, Lõõtsa tn 8, 11415) — "the platform" or "the operator" below. You accept them when activating a campaign; a new version must be accepted before your next activation. Already-active campaigns and already-sold prepaid services keep the terms they were activated or sold under. The platform serves these terms verbatim and records your acceptance (version, content hash, acting member and time).
1. The deal
- Creating campaigns is free. There are no subscription or listing fees.
- For every prepaid service sold, the platform keeps a fee of 10% of its price — the amount the buyer actually pays. Your take is the buyer's payment minus that fee, so a deeper discount lowers the platform's fee and your take together. (Until 2026-08-30 the fee was 10% of the regular undiscounted price; sales under an earlier version of these terms keep the split recorded at their sale.)
- Two limits follow from that fee. A campaign's discount may be at most 70% of the regular price, and the price may not be so low that the 10% fee rounds to nothing.
- Autodrom OÜ, as the operator of Autodrom, is the merchant of record for prepaid service sales: buyers pay the platform through its licensed payment service provider, and the platform pays you as set out below.
2. When you get paid
- Payment follows redemption, never sale. A sale's take becomes payable to you when the prepaid service reaches a terminal outcome in your favour: it is redeemed at your counter, or it expires unredeemed (see §4).
- Settlement hold: a take becomes payable 7 days after that terminal event, and only while the underlying purchase has not been refunded. The hold is the buyer-dispute window; a purchase reversed inside it is refunded from funds the platform still holds.
- No clawbacks — ever. Until a take is payable the platform holds the full buyer payment, so every refund is paid from held funds. Money that has been paid out to you is never reclaimed; payment reversals that land after a payout (e.g. a bank chargeback) are absorbed by the platform.
- Payout mechanics: payouts are made by SEPA bank transfer, normally monthly, at the operator's discretion, with a recorded reference. A transfer returned by the bank is re-opened and re-paid once corrected bank details are confirmed.
3. Redemption
- Any member of your service account may check in a prepaid service by entering or scanning its code. Redemption is recorded with the acting member and time.
- The code is the buyer's proof of purchase (a bearer code). Redeem it only when you actually deliver the offer — marking a code redeemed without delivery is a breach of these terms, and buyer complaints inside the settlement hold are resolved by refund from held funds.
- Redemption is unavailable while your account is suspended (§5).
4. Expiry
- Each prepaid service is redeemable until the date shown with it: the campaign's end date plus 90 days.
- A prepaid service that expires unredeemed is forfeited by the buyer and settled with the normal split: your take becomes payable (after the settlement hold), the platform keeps its fee.
5. Suspension
- If your service account is suspended, check-in is blocked while suspension lasts. Earnings remain visible.
- Prepaid services that are still active (unredeemed and unexpired) at suspension time may be refunded to buyers by the platform operator from held funds. Already redeemed or already expired ones keep their outcomes.
6. Refunds toward buyers
- Buyers have a statutory 14-day withdrawal right from purchase, for unredeemed prepaid services only, refunded in full by the platform from held funds. It never costs you a payable take retroactively (see §2, no clawbacks).
- Redemption is performance with the buyer's express consent and ends the withdrawal right; a redeemed prepaid service is not refundable through the product.
7. Records
- The Earnings view and its CSV export are the authoritative statement of your balances (payable / on hold / held / paid out) and payout history.
- Invoicing and VAT treatment of your sales remain your responsibility.
